1. Introduction

These Terms and Conditions ("Terms") govern the use of services provided by WebWise ("we", "us", or "our"), a web development and hosting company based in Malta. By engaging our services, you ("Client" or "you") agree to be bound by these Terms.

2. Services

We provide the following services:

• Custom website development
• Web hosting services
• Domain registration assistance
• Website maintenance and support
• SEO optimization

3. Agreement and Acceptance

By requesting a quote or engaging our services, you accept these Terms. All services are provided subject to availability and our acceptance of your project requirements.

4. Pricing and Payment

4.1 Quotes

All quotes are valid for 30 days from issuance. Quotes are estimates and may be subject to change based on project scope modifications.

4.2 Payment Terms

• 50% deposit required to commence work
• Remaining 50% due upon project completion
• Hosting and maintenance fees are billed annually in advance
• Late payments may incur interest at 5% per month

5. Project Timeline

Project timelines are estimates. Delays caused by client feedback, content provision, or third-party services are not our responsibility. We will keep you informed of any significant delays.

6. Client Responsibilities

You agree to:

• Provide all necessary content, images, and information in a timely manner
• Review and approve work within agreed timeframes
• Ensure you have rights to use any provided content
• Backup your existing website/data before we begin work

7. Intellectual Property

7.1 Our Work

Upon full payment, you receive full rights to the website code and design. We retain rights to showcase the work in our portfolio.

7.2 Third-Party Content

You are responsible for ensuring you have rights to use any third-party content, images, or materials provided to us.

8. Hosting and Domain Services

For hosting services, we act as an intermediary. You are responsible for complying with the hosting provider's terms. Domain renewals are your responsibility unless otherwise agreed.

9. Limitation of Liability

Our liability is limited to the amount paid for services. We are not liable for indirect losses, lost profits, or consequential damages. Our total liability shall not exceed the contract value.

10. Warranty

We warrant that our services will be performed with reasonable skill and care. Any defects must be reported within 30 days of delivery. We will correct any defects caused by our workmanship at no additional cost.

11. Termination

Either party may terminate the agreement with 14 days written notice. Upon termination, you will pay for all work completed up to that date.

12. Governing Law

These Terms are governed by Maltese law. Any disputes shall be resolved in Maltese courts.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be communicated to you and continued use of our services constitutes acceptance.
